1. Introduction

Welcome to YourEA.

By accessing or using our services, you (“Client”, “User”) agree to be bound by these Terms & Conditions.

YourEA provides on-demand personal assistant and execution services to individuals and businesses, covering both professional and personal tasks.

2. Scope of Services

YourEA offers assistance including, but not limited to:

• Research and information gathering
• Scheduling and coordination
• Travel planning and bookings
• Vendor sourcing and communication
• Administrative and execution support

Important:

• YourEA acts as a service facilitator and execution partner
• We do not guarantee outcomes, only execution based on available inputs

3. Client Responsibilities

To ensure smooth execution, the client agrees to:

• Provide accurate, complete, and timely information
• Approve decisions where required
• Respond within reasonable timelines

Any delays due to incomplete or incorrect information are the client's responsibility.

4. Third-Party Services

Many tasks may involve third-party vendors (airlines, hotels, service providers, etc.).

YourEA is not responsible for:

• Service quality of third parties
• Delays, cancellations, or errors from third parties
• Pricing changes or availability

All bookings are subject to the terms of respective third parties.

5. Payments & Fees

• Services are provided on a paid basis (subscription / per-task / custom pricing)
• Payment terms will be communicated before service delivery
• YourEA reserves the right to pause or stop services in case of non-payment

Unless explicitly stated, all payments are non-refundable.

6. Service Limitations

YourEA will not:

• Perform illegal, unethical, or fraudulent activities
• Misrepresent identity on behalf of the client
• Take financial decisions without explicit approval

We reserve the right to decline any request.

7. Turnaround Time

Timelines depend on:

• Task complexity
• Availability of information
• Third-party dependencies

While we aim for fast execution, timelines are not guaranteed.

8. Communication

Primary communication may happen via:

• WhatsApp
• Email
• Calls

Client agrees to maintain professional and respectful communication.

9. Confidentiality

YourEA understands that users may share sensitive, personal, operational, financial, or business-related information while using our services. We treat such information with reasonable care and confidentiality.

Any non-public information shared with YourEA, including but not limited to business information, internal discussions, passwords, documents, contact details, operational data, travel details, vendor information, or account access credentials, shall be treated as confidential and shall only be used for the purpose of providing requested services.

YourEA may provide limited access to such information only to authorized employees, interns, contractors, or representatives strictly on a need-to-know basis for service execution purposes, all of whom are expected to maintain confidentiality obligations.

We do not sell, publicly disclose, or commercially exploit user confidential information.

However, users acknowledge and agree that:

• certain services may require temporary access to third-party accounts, platforms, communication tools, or systems;
• information or access shared with YourEA is voluntarily provided by the user for operational execution purposes;
• no digital platform, communication channel, or internet-based system can be guaranteed to be completely secure;
• YourEA shall not be liable for unauthorized access, cyber incidents, third-party breaches, platform vulnerabilities, or losses arising due to user negligence, third-party systems, or circumstances beyond reasonable control.

Users are advised not to share highly sensitive financial credentials, payment authorization access, or information unnecessary for execution of requested services.

10. Data Usage

Client data may be used internally to:

• Improve service quality
• Maintain records

We do not sell or misuse personal data.

11. Limitation of Liability

YourEA acts solely as an operational support and execution assistance platform. While we strive to provide reliable and efficient services, users acknowledge and agree that all services are provided on a best-effort basis.

To the maximum extent permitted under applicable law, YourEA, its founders, employees, interns, contractors, affiliates, or representatives shall not be liable for:

• any indirect, incidental, consequential, special, or punitive damages;
• loss of profits, business opportunities, goodwill, reputation, or data;
• delays, failures, or disruptions caused by third-party platforms, vendors, service providers, banks, airlines, websites, applications, government authorities, or external systems;
• errors arising from incomplete, inaccurate, outdated, or misleading information provided by users or third parties;
• unauthorized access, hacking, cyber incidents, data breaches, phishing attacks, technical failures, or platform downtime beyond reasonable control;
• decisions, purchases, bookings, transactions, or actions taken by users based on information, recommendations, coordination, or research provided by YourEA;
• service interruptions caused by force majeure events including natural disasters, strikes, internet failures, regulatory actions, pandemics, or circumstances beyond reasonable control.

Users acknowledge that YourEA may assist with coordination, research, scheduling, communication, bookings, operational support, and related services, but final responsibility for approvals, payments, decisions, transactions, verifications, and authorizations shall always remain with the user.

Under no circumstances shall YourEA be responsible for independently authorizing financial transactions, investments, legal decisions, contractual commitments, or regulatory compliance obligations on behalf of users.

In any event, the total aggregate liability of YourEA arising out of or relating to use of the services shall not exceed the total amount paid by the user to YourEA during the three (3) months immediately preceding the event giving rise to such claim.

By using YourEA services, users acknowledge and accept the inherent operational, digital, and third-party risks associated with internet-based service platforms and agree to use the services at their own discretion and risk.

12. Termination

YourEA reserves the right to suspend or terminate services if:

• Terms are violated
• Misuse or abuse is detected

Clients may stop using services at any time, subject to payment obligations.

13. Modifications

• These Terms may be updated from time to time
• Continued use of services implies acceptance of updated terms

14. Governing Law

These Terms shall be governed by the laws of India.

Any disputes shall be subject to the jurisdiction of Ahmedabad courts.
